The agreement between your firm and ToSure.
Terms of Service
Effective date: 19 September 2026 · Version 1.0
These Terms of Service ("Terms") are a binding agreement between Bhujbal Daily Solutions Private Limited, a company incorporated in India (CIN U72900MH2019PTC330201, registered office B-11/14, Siddhivinayak Society, M G Complex, Sector 14, Vashi, Navi Mumbai, Maharashtra – 400703, India, GSTIN [GSTIN]) ("Tosure", "we", "us"), and the chartered accountancy firm or other business that creates an account on tosure.in ("Firm", "you").
By signing in, clicking "I agree", or using the platform, you confirm that you have authority to bind the Firm and that you accept these Terms. If you do not agree, do not use the platform.
1. What Tosure does
Tosure is a software service that helps a CA firm ask its clients for documents, collect them through a private upload link or WhatsApp, store them in the Firm's own workspace, and keep track of recurring and one-time compliance work.
Tosure is a software provider only. We are not chartered accountants and we do not provide tax, legal, audit or accounting advice. Deadlines, statutory positions, professional judgement, ICAI requirements and the accuracy of any filing remain entirely the Firm's responsibility. Reminders, due dates and checklists in the platform are conveniences, not advice, and must not be relied on as a compliance calendar.
2. Accounts, users and roles
2.1 We create the Firm's workspace and its first Owner account. The Owner may add staff and assign roles. Each person must have their own login; logins must not be shared.
2.2 You are responsible for everything done through your accounts, for keeping passwords and two-step verification secure, and for removing staff who leave. Tell us immediately at [support email] if you suspect misuse.
2.3 We never ask for your password. Our staff cannot sign in as your users and cannot open your clients' documents from the admin console.
2.4 You must give accurate firm details, including the ICAI firm registration number, GSTIN where applicable, and a working email address.
3. Your clients' data
3.1 Under the Digital Personal Data Protection Act, 2023 and the DPDP Rules, 2025, the Firm is the Data Fiduciary for the personal data of its clients. Tosure acts as a Data Processor and processes that data only to run the service for you and on your instructions.
3.2 You confirm that you have a lawful basis — including valid consent where required — to upload client data to Tosure, to send WhatsApp messages to those clients, and to ask them for documents. The platform records consent for you; it does not obtain consent on your behalf.
3.3 Our Privacy Policy, Data Processing Agreement and Data Deletion Policy form part of these Terms and describe how we handle personal data, security and your clients' rights.
3.4 The Firm decides what is uploaded. Do not upload data you are not entitled to hold, and do not use Tosure to store data unrelated to your professional engagement with the client.
4. WhatsApp
4.1 Messaging runs on the WhatsApp Business Platform through the Firm's own WhatsApp Business Account, which the Firm connects through Meta's sign-up window. The Firm — not Tosure — owns that account and the phone number.
4.2 Unless your plan says otherwise, Meta charges the Firm directly for delivered template messages using the payment method the Firm adds in Meta. Where a plan includes a Tosure message wallet or included messages, the amounts shown on the plan apply instead.
4.3 You must follow Meta's WhatsApp Business Terms, Commerce and Messaging policies. You may only message clients who expect to hear from you. Meta may restrict, pause or block your number for quality or policy reasons; those decisions are Meta's, and we cannot reverse them.
4.4 Meta may change its platform, pricing, approval rules and message limits at any time. We will pass on such changes as they take effect, and we are not liable for them.
4.5 Messages can be delayed, blocked by consent checks, or fail at Meta. The platform shows the status of every message, and you remain responsible for following up with the client by other means where a message does not arrive.
5. Subscription, fees and taxes
5.1 Plans, limits and prices are shown in the platform. A subscription runs for the billing period shown (monthly, quarterly or annual) and renews automatically unless auto-renewal is stopped before the period ends.
5.2 Prices are in Indian Rupees. GST and any other applicable taxes are charged as required by law, and a tax invoice is issued for every payment.
5.3 Payments are processed by Razorpay. We do not store your card, UPI or bank credentials. Trials, where offered, end automatically on the date shown.
5.4 Fees are non-refundable. Cancelling stops the next renewal; the plan stays active until the end of the period already paid for. We do not refund part-used periods, unused message wallet balances or included message credits, except where Indian law requires a refund.
5.5 Message wallet balances and included credits are prepaid usage, not money on deposit. They cannot be transferred or withdrawn, and they lapse when the account is closed.
5.6 We may change prices for future periods with at least 30 days' notice by email or in the platform. Continuing after the change takes effect means you accept the new price.
5.7 If an invoice is unpaid past its due date, we may send reminders and, after a further 7 days' notice, restrict new work in the account (see clause 8).
6. Acceptable use
You must not, and must not allow anyone else to:
- use the platform to break any law, or to send messages that are unlawful, misleading, or sent without the recipient's consent;
- upload malware, or try to bypass virus scanning, file-type or size limits;
- attempt to access another firm's workspace or data, probe our security, or disrupt the service;
- copy, reverse-engineer, resell, rent or white-label the platform without a written agreement from us;
- use automated scraping, or use the API beyond the limits of your plan;
- share magic links, exports or client documents with anyone who is not entitled to receive them.
7. Availability, support and changes
7.1 We aim to keep the platform available at all times except for planned maintenance, which we schedule outside Indian business hours where we reasonably can. We do not promise uninterrupted service, and this agreement carries no uptime service-level credit unless we agree one with you in writing.
7.2 Support is provided by email at [support email] during Indian business hours, and through the support contact shown in the platform.
7.3 We improve the platform continuously. We will not remove a material feature your plan depends on without at least 30 days' notice.
7.4 Beta or preview features are marked as such, may change or be withdrawn, and are provided without any warranty.
8. Suspension
We may suspend an account or specific features if: payment is overdue after notice; we reasonably believe the account is being used unlawfully or in breach of clause 6; Meta or a payment provider requires it; or there is a security incident that makes suspension necessary to protect data. Except in an emergency, we will tell you first and give you a chance to fix the problem. During suspension your existing data stays readable where we safely can allow it.
9. Ending the agreement
9.1 You may close your account at any time from the platform or by writing to [support email]. We may end the agreement on 30 days' notice, or immediately for a serious or repeated breach of these Terms.
9.2 After termination you have 30 days to export your data from the platform. After that we delete or irreversibly anonymise Firm and client data within 60 days, except where we must keep it: invoices and accounting records that Indian tax and company law require us to retain, consent and audit records, records under a legal hold, and backups that expire on their normal cycle. The Data Deletion page explains every category, how to ask for deletion and how long each step takes.
9.3 Clauses that by their nature should survive termination — fees due, confidentiality, liability, indemnity, governing law — survive.
10. Intellectual property
10.1 We own the platform, its software, design and documentation. You get a non-exclusive, non-transferable right to use it during your subscription.
10.2 You own your firm data and your clients' documents. You grant us only the limited rights we need to host, process, back up and display that data to run the service for you.
10.3 If you send us feedback or suggestions, we may use them to improve the platform without owing you anything.
10.4 "Tosure" and our logos are our marks. We will not use your firm name or logo publicly without your written permission.
11. Confidentiality
Each party will keep the other's confidential information secret, use it only for this agreement, and protect it at least as carefully as its own. This does not apply to information that is public through no fault of the receiver, was already known, or must be disclosed by law — in which case, where lawful, the receiving party will tell the other first.
12. Warranties and disclaimers
12.1 Each party warrants that it has the authority to enter this agreement and will comply with applicable law, including the DPDP Act, 2023.
12.2 Apart from what these Terms expressly say, the platform is provided "as is". To the extent Indian law allows, we exclude all implied warranties, including fitness for a particular purpose.
12.3 We do not warrant that a message will be delivered by WhatsApp, that OCR or document checks will be accurate, that a client will respond, or that any filing will be made on time. Those outcomes depend on third parties and on your own work.
13. Limitation of liability
13.1 Neither party is liable for indirect or consequential loss, loss of profit, loss of business, penalties, interest or tax liabilities, or loss of goodwill.
13.2 Our total liability for all claims in any 12-month period is limited to the fees you paid us for the platform in the 12 months before the event giving rise to the claim.
13.3 Nothing in these Terms limits liability that cannot be limited by Indian law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
14. Indemnity
You will defend and indemnify us against claims, fines and reasonable costs arising from: your use of the platform in breach of clause 6; messages you send without lawful consent; data you had no right to upload; or your breach of Meta's or a payment provider's terms. We will tell you promptly of any such claim and let you control the defence, and we will not settle it without your consent.
15. Third-party services
The platform relies on Meta (WhatsApp Business Platform), Razorpay (payments), our hosting provider and our email provider. Their terms apply to their services, and their outages, decisions or price changes are outside our control.
16. Changes to these Terms
We may update these Terms. For material changes we will give at least 15 days' notice by email or in the platform before they take effect. If you do not accept a material change, you may stop using the platform and close your account before it takes effect; fees already paid are not refunded.
17. Governing law and disputes
17.1 These Terms are governed by the laws of India.
17.2 The parties will first try to resolve any dispute by discussion between senior representatives for 30 days.
17.3 If that fails, the dispute will be settled by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Mumbai, Maharashtra and the language is English.
17.4 Subject to clause 17.3, the courts at Mumbai, Maharashtra have exclusive jurisdiction.
18. General
Notices to us go to [support email] and, for privacy matters, to [grievance email]; notices to you go to the email addresses on your account. You may not transfer this agreement without our consent; we may transfer it to a group company or to a buyer of our business. Neither party is liable for delay caused by events beyond its reasonable control. If a clause is held invalid, the rest stays in force. These Terms, the Privacy Policy and the Data Processing Agreement are the entire agreement between us about the platform.
